Founders

  • Julià Delos Ayllón — Scientist, engineer, strategist, and founder with a PhD and multiple patents. He brings technical leadership and vision.
  • Louisa N. Spaans — Medical doctor specializing in surgery, board member of NGO Quina Care, and angel investor. She brings expertise in care, human well-being, and strategic guidance.

Company Structure and Where You Fit In

"Founation Scheme" We have built a solid corporate foundation designed to include you:

  • The Calçotada Company B.V. — The holding company, based in the Netherlands.
    • 95.01% owned by Julià Delos Ayllón and 4.99% by Louisa N. Spaans.
    • Future participation for Memorandum Owners will be held through a STAK Foundation.
  • La Calçotada B.V. — The operational company, fully owned by the holding company.

What is the STAK Foundation?

A STAK (Stichting Administratiekantoor) is a Dutch legal structure that holds the shares and issues certificates to investors. As a Memorandum Owner, you will hold these certificates. This gives you economic rights — profits, dividends, and growth — while the voting and governance remain in place to protect long-term strategy and stability.

This structure:

  • Brings you into the project as an investor.
  • Allows you to benefit from the company’s growth.
  • Ensures that short-term noise doesn’t derail long-term impact.
